These Terms and Conditions (the “Terms” or the “Agreement”) constitute a legally binding agreement between you, the player (hereinafter referred to as the “User”, “You”, or “Your”), and Company (hereinafter referred to as the “Company”, “We”, “Us”, or “Our”).

The Company is listed by the Tobique Gaming Commission (the “TGC”) as a B2C remote gambling license holder. The Services are operated subject to the Tobique Gaming Act 2023, the TGC General Code of Practice, applicable TGC regulations and codes of practice, and the conditions of the Company’s applicable licence (collectively, the “TGC Regulatory Framework”).

These Terms govern the access to and use of all products, services, and content provided by the Company. These Terms also extend to all ancillary services provided by the Company, including customer support, account management, and payment processing. The method by which the User accesses the Services, whether via desktop, mobile device, application, or any other technology, does not affect the applicability of these Terms.

The Company may amend, modify, or update these Terms where necessary to reflect changes in applicable law, the TGC Regulatory Framework, usiness operations, products, payment arrangements, security requirements, or internal policies. Changes shall not have retrospective effect where prohibited by applicable law or regulation.

Any such changes shall become effective on the date stated in the updated Terms or upon publication on the Website, as applicable. The Company will notify Users of any significant changes, to these Terms through an appropriate communication channel, such as email, account notification, or a prominent Website notice. Users should review the updated Terms before continuing to use the Services. Continued use of the Services after the effective date of a validly notified change constitutes acceptance of the revised Terms to the extent permitted by applicable law.

These Terms are drafted in the English language. In the event of any discrepancy between translated versions, the English version shall prevail.

By accessing the Website, registering an account, or using any of the Services, the User confirms that they have read, understood, and accepted these Terms in full, and agree to be bound by them.

These Terms shall be read together with the Company’s Privacy Policy, Payment Policy, and KYC / Verification Procedures, all of which form an integral part of this Agreement and are legally binding on the User.

The Services are strictly intended for individuals who have reached the minimum legal age required to participate in gambling activities (the “Eligible Age”), which shall be at least 18 years of age, or higher where required under the laws of the User’s jurisdiction.

By using the Services, the User represents and warrants that they meet the applicable age requirement and are legally permitted to engage in gambling activities. The Company reserves the right to request proof of age at any time and may suspend or terminate the User’s account if such proof is not provided or if there is any reason to believe that the User does not meet the eligibility requirements. Any use of the Services by individuals below the Eligible Age constitutes a material breach of these Terms and may result in the voiding of transactions and forfeiture of funds.

The User is solely responsible for ensuring that their use of the Services is lawful in their jurisdiction. The Company does not provide legal advice and makes no representation that the Services are permitted under the laws of any particular country.

Access to the Website and Services is strictly prohibited from jurisdictions where online gambling is illegal, restricted, or where the Company is not licensed to operate. The Company reserves the right to restrict or block access from such jurisdictions and to suspend or terminate accounts associated with them.

Where applicable, the Company may implement geo-blocking, IP filtering, and other technical measures to enforce jurisdictional restrictions. However, the User remains fully responsible for ensuring compliance with local laws. Any attempt to circumvent such restrictions, including through the use of VPNs, proxies, or similar tools, shall constitute a breach of these Terms.

User Declarations and Representations

By registering an account and using the Platform, You hereby confirm, represent, and warrant that:

1. You are at least 18 years of age (or the minimum legal age applicable in Your jurisdiction, if higher), and are legally permitted to participate in online gambling activities
2. You are acting on Your own behalf, for Your personal use only, and using Your own funds, and not on behalf of any third party
3. You are opening only one Account, and this is Your first and only registration with the Company
4. You have not self-excluded from gambling services and are not subject to any voluntary or mandatory exclusion program that would prohibit You from using the Services
5. You have read, understood, and accepted these Terms and Conditions and agree to comply with them
6. All information provided by You to the Company is true, accurate, complete, and verifiable, and You undertake to keep such information up to date at all times
7. You acknowledge and agree that providing false, misleading, or incomplete information may result in:
   1. Suspension or closure of Your Account
   2. Voidance of bets and/or winnings
   3. Restriction of withdrawals
   4. Any other action deemed necessary by the Company in accordance with these Terms
8. You understand and accept that the Company may apply limitations on winnings, payouts, or withdrawals, as specified in the relevant sections of these Terms and Conditions

1. DEFINITIONS

1.1. The User is a client — natural person with sufficient legal capacity to conclude the Terms, registered on the Website and entitled to use the Website offers according to the Terms and Conditions, Privacy Policy, Payment Policy and the KYC Procedure

1.2. The Game — is a multimedia product of the Company available on the Website and an independent copyright object of the game providers, as well as a software program that includes game resources, add-ons, updates to the Game and databases

1.6. The Legislation — means the Tobique Gaming Act 2023, the TGC Regulatory Framework, the laws applicable within Tobique First Nation and, where relevant, the mandatory laws and regulations of the other jurisdiction.

1.7. The Content — is text material, audio and video files, graphics, animation, images and other information created for the Website

1.8. The Game Account — is created when the User registers on the Website; it allows the User to make bets and deposit funds and the Provider — to identify each User

1.9. Game Rules — are conditions according to which the user takes part in the game process

1.10. Tournament Rules — are conditions according to which the user takes part in the tournament

2. GAME RULES

2.1. Availibility

2.2. All games made available on the Website are subject to specific rules, which are accessible within the relevant section of each individual game. 2.3. In the event of any inconsistency between these Terms and the specific rules of a game, the game-specific rules shall prevail in relation to that particular game.

2.4. License to Use the Games

2.5. Subject to compliance with these Terms and Conditions, the Company grants the User a limited, non-exclusive, non-transferable, and revocable right to access and use the Games solely for personal, non-commercial purposes.

2.6. Such access is strictly conditional upon:

1. The User being located in a permitted jurisdiction

3. Adherence to the Privacy Policy, Payment Policy, and KYC Procedures

2.7. The Company reserves the right to suspend or revoke access to any Game at its sole discretion where there is a breach of these Terms or applicable laws.

2.8. Operation and Integrity of Games

2.19. Random Number Generator (RNG) and Game Outcomes

2. Independent of previous outcomes
3. Not predictable or controllable by the User

2.21. The Company does not guarantee winnings at any time, and all outcomes are based on chance unless explicitly stated otherwise in the game rules.

2.22. The User acknowledges and accepts that:

1. The outcome of each game is final once confirmed by the system
2. b.Technical errors, system malfunctions, interruptions, or disrupted transaction processing may affect gameplay. Where a significant disruption causes a wager or transaction to be aborted before a valid outcome is determined, the Company will take reasonable steps to restore the transaction where possible or refund the affected stake or wager in a fair manner consistent with the applicable Game Rules and the TGC Regulatory Framework. The Company may void affected bets and make any corrective account adjustments that are reasonably necessary.

3. GAME ACCOUNT

3.1. Account Registration and Use

3.2. The User may register and open a Game Account on the Website by completing the registration process and providing all required information truthfully and accurately.

3.3. In order to participate in real-money gaming activities, the User must successfully register an account and deposit funds into their Game Account. The Company reserves the right to refuse, suspend, or terminate any account at its sole discretion, including where regulatory, compliance, or risk considerations apply.

3.4. Each User is permitted to maintain only one (1) Game Account. The use of multiple accounts, whether directly or indirectly, including through the use of different identities, devices, IP addresses, or third parties, is strictly prohibited and may result in account suspension, closure, forfeiture of funds, and cancellation of winnings.

3.6.Identity and age verification procedures may begin at account opening and may include electronic database checks and/or requests for reliable documentation, including government-issued identification, proof of address, payment-method verification, source-of-funds information, or other supporting evidence. Verification must be completed within applicable regulatory timeframes and before any withdrawal or payout where required. Until verification is satisfactorily completed, the Company may restrict the Account, deposits, wagering, withdrawals, or access to specific Services.

3.7.The User acknowledges that no winnings will be paid until the User’s age and identity have been formally verified where verification is required. Where an underage User is identified, the Company may suspend the Account, void affected wagers, return eligible deposits where required, forfeit winnings as required by the TGC Regulatory Framework, and report the matter to the TGC or other competent authorities.

3.8. Account Currency and Payment Methods

3.9. The User may operate their account in one selected currency, including but not limited to EUR, USD, CAD, AUD, NZD, BRL, and INR. Cryptocurrency may also be supported where specified on the Website.

3.10. The User acknowledges that only one currency may be assigned per account. In the event the User wishes to change the currency, the existing account must be closed, and a new account must be created, subject to approval by the Company.

3.11. The Company reserves the right to determine and utilize third-party payment service providers to process deposits and withdrawals. The Company does not guarantee the availability or success of any specific payment method, as transactions may be declined or restricted by financial institutions or payment providers at their discretion.

3.12. Account Security and Responsibility

3.13. The User is responsible for maintaining the confidentiality of their login credentials, including username and password, and for all activities conducted through their account.

3.14. The Company shall not be liable for any loss or damage arising from unauthorized access to the User’s account where the correct login credentials have been used. All transactions performed using valid account credentials shall be considered authorized.

3.15. Users are strongly advised to implement appropriate security measures, including regular password updates and secure device usage. In the event of suspected unauthorized access, the User must notify the Company immediately.

3.16.The Company will make recent Account transaction and gaming history available through the Account interface for at least the period required by the TGC Regulatory Framework. Account history for at least the previous thirty (30) days should be directly accessible where technically available, and older records may be requested from Customer Support, subject to applicable retention, security, and verification requirements.

3.17. Deposits and Source of Funds

3.18. The User may deposit funds into their Game Account using the payment methods made available on the Website. By making a deposit, the User confirms that:

1. The funds belong solely to them
2. The funds are not derived from illegal or unauthorized sources
3. The funds are not being deposited on behalf of any third party

3.19. The Company reserves the right to request verification of the source of funds at any time and to suspend transactions pending such verification.

3.20. The Game Account is not a bank account and does not accrue interest. The Company does not provide credit or loans to Users for participation in gaming activities.

3.21.Customer funds are maintained and safeguarded in accordance with the TGC Regulatory Framework. The Company will maintain arrangements designed to segregate customer funds from its corporate working funds and to maintain sufficient funds or cash equivalents to meet customer balances, pending withdrawals, and guaranteed prizes, subject to applicable regulatory requirements.

3.22. Winnings, Errors, and Adjustments

3.23. All winnings are credited to the User’s Game Account based on game outcomes.

3.24. In the event of an error, including but not limited to system malfunction, incorrect crediting of winnings or bonuses, or technical failure, the Company reserves the right to:

1. Correct the error
2. Void affected transactions
3. Deduct any incorrectly credited amounts

3.25. Where funds have been withdrawn prior to detection of such error, the User shall be obligated to repay the corresponding amount upon request.

3.26. Withdrawals

3.27.Withdrawals may be requested by the User through their Game Account at any time, subject only to legitimate restrictions including identity, age, security, AML/CFT, sanctions, fraud-prevention, responsible-gaming, payment-method, or other regulatory checks and any clearly disclosed withdrawal limits

3.28.Any deposit made to the User’s Game Account must be wagered at least three (3) times before withdrawal; where several deposits have been made without sufficient gaming activity, the User must wager three (3) times the aggregate amount of such deposits, failing which the Company may refuse or delay the withdrawal until the applicable wagering requirement has been fulfilled

3.29.The Company will process withdrawal requests promptly and accurately. Following completion of all required checks and verifications, processing should normally be completed within five (5) working days, excluding weekends and bank holidays, subject to applicable withdrawal limits and additional processing time required by banks, payment service providers, blockchain networks, or other third parties. The Website and/or Payment Policy may provide more specific indicative processing times for different withdrawal methods.

3.30.Withdrawals may be subject to minimum and maximum limits and, where applicable, fees, as disclosed on the Website, in the cashier, or in the Payment Policy. Information about any currency conversion rates or conversion methodology applicable to deposits, balances, or withdrawals will be made readily accessible on the Website.

3.31. Withdrawals will, where possible, be processed using the same method as the original deposit. Where this is not feasible, the Company may determine an alternative method in accordance with applicable AML/CFT requirements.

3.32. The Company reserves the right to refuse or delay withdrawals where there is reasonable suspicion of fraud, money laundering, abuse of bonuses, or violation of these Terms.

3.33. The User acknowledges that deposits must be used for legitimate gaming activity and not as a means of transferring funds. Where deposits are made without sufficient wagering activity, the Company may restrict withdrawals and apply additional review.

3.34. The Company reserves the right to impose limits on deposits, withdrawals, and account activity at its sole discretion. Such limits may be based on risk assessment, regulatory requirements, or operational considerations.

3.35.Wagering requirements may apply to bonuses, promotional funds, free spins, or other incentives only where clearly disclosed in the applicable promotion terms. Non-promotional deposits are not subject to a blanket wagering requirement solely as a condition of withdrawal; however, deposits and Account activity may be reviewed where the Company reasonably suspects that the Account is being used for money laundering, payment abuse, fraud, or non-gaming fund transfers.

3.36.Dormant Accounts

3.37.An Account will be treated as dormant where there have been no Account transactions initiated by the User for a continuous period of six (6) months.

3.38.Before an Account is treated as dormant and, where applicable, before any dormant-account charge is applied, the Company will make reasonable efforts to contact the User and explain the dormant-account policy. The Company will provide at least fourteen (14) days’ written notice before the Account is deemed dormant and becomes subject to any deduction or administrative charge.

3.39.Where the Company applies an administrative or management charge to a dormant Account, the charge will be proportionate to the reasonable cost of managing the dormant Account and will not exceed EUR 5 per month or its equivalent. No dormant-account charge will be imposed unless the applicable charge and the period after which it applies are clearly disclosed to the User.

3.40.The Company will take reasonable steps to protect remaining funds in a dormant Account. The Account will not be reduced to zero merely by dormant-account charges until the applicable dormant-account procedure has been concluded. A User may contact Customer Support to reactivate or close a dormant Account and request withdrawal of any available balance, subject to verification, AML/CFT, payment, and other regulatory requirements.

4. TOURNAMENT RULES

4.1. General Tournament Conditions

4.2. The rules applicable to each tournament, including but not limited to gameplay mechanics, participation requirements, prize structure, duration, and ranking criteria, are set out in the dedicated “Tournaments” section of the Website.

4.3. By participating in any tournament, including by clicking the “Play Now” button or otherwise joining the tournament, the User confirms that they have read, understood, and accepted the applicable tournament rules in full.

4.4. The Company is committed to ensuring fair competition and reserves the right to monitor all tournament activity.

4.5. Where the Company determines, at its sole discretion, that a User is engaging in strategies intended to artificially reduce risk or manipulate outcomes, such conduct may be considered abusive or fraudulent. This includes, but is not limited to, placing multiple bets designed to minimize loss while maximizing qualifying activity or volume.

4.6. Examples of prohibited behavior include:

1. Placing offsetting bets (e.g., simultaneously betting on opposing outcomes such as red and black in roulette)
2. Engaging in low-risk, high-volume betting solely to gain advantage in tournament rankings
3. Any coordinated or systematic activity designed to distort fair competition

4.7. In such cases, the Company reserves the right to:

1. Disqualify the User from the tournament
2. Reset or void tournament results
3. Exclude the User from current and future tournaments
4. Take additional action in accordance with these Terms

4.8. The rules governing each lottery, including mechanics, participation criteria, prize structure, and draw procedures, are available in the “Lotteries” section of the Website.

4.9. Participation in any lottery constitutes full acceptance of the applicable lottery rules. The User acknowledges that each lottery is subject to its own specific conditions and agrees to comply with them.

4.10. The Company reserves the right to amend, suspend, or cancel any lottery in cases of technical issues, suspected abuse, or regulatory requirements.

5. RESPONSIBLE GAMING

5.1.The Company is committed to responsible gambling and provides Users with information and tools intended to help them monitor, manage, and control their gambling behaviour. Gambling is intended as entertainment and should not be treated as a source of income

5.2.Responsible-gaming information and available management tools are accessible through the Website and/or the User’s Account. Depending on the functionality made available by the Company, gaming-management tools will include at least one of the following: (a) a deposit limit for a specified period; (b) a loss limit for a specified period; and/or (c) a time-played reminder. The Company may provide additional tools or limits.

5.3.Where a User requests a reduction of a self-set gaming limit, the Company will implement the reduction as soon as reasonably practicable. 5.4.Users may request a temporary cooling-off period or self-exclusion by using the available Account tools or by contacting Customer Support. Requests will be recorded and implemented as soon as reasonably practicable and without requiring the User to justify the request.

5.5.Cooling-Off Periods

5.6.During a cooling-off period, the Company may restrict deposits, wagering, and other gambling functionality while allowing access reasonably required for Account administration and withdrawal of cleared funds. Marketing communications will be suspended where applicable. At the end of the selected cooling-off period, access may be restored in accordance with the applicable responsible-gaming procedure.

5.7. Self-Exclusion

5.8.A User may request self-exclusion for a specified period of time or permanently, subject to the self-exclusion options and procedures made available by the Company. Self-exclusion will be implemented consistently across brands and products under the 5.8.Company’s control to the extent required by the TGC Regulatory Framework.

5.9.As soon as reasonably practicable following implementation of self-exclusion: (a) no new bets or deposits will be accepted from the User; (b) gambling access will be blocked or restricted in accordance with the applicable exclusion; (c) the Company will take reasonable steps to prevent its own marketing communications from being sent to the User; and (d) the User will not be prevented from withdrawing any cleared Account balance, subject to verification, AML/CFT, payment-processing, sanctions, and other lawful restrictions.

5.10.Where permanent self-exclusion is selected, the Company will arrange for the User’s available cleared Account balance to be remitted in accordance with applicable payment, verification, AML/CFT, sanctions, and regulatory requirements.

5.11.Where a self-exclusion lasts six (6) months or more, restoration of gambling access after the exclusion period will require the User to confirm through the Company’s documented process that they wish to resume gambling before the Account or gambling facility is reinstated. The Company may refuse or delay reactivation where required by responsible-gaming, risk, or regulatory considerations.

5.12.Any attempt to circumvent a cooling-off period or self-exclusion, including by creating duplicate Accounts or using different personal details, constitutes a breach of these Terms and may result in further restrictions or Account closure. The treatment of deposits or winnings following a breach of self-exclusion will be determined in accordance with the User’s history, applicable law, and the TGC Regulatory Framework.

5.13.Users who are concerned about their gambling behaviour are encouraged to use the responsible-gaming tools available on the Website and to seek assistance from a reputable problem-gambling support organisation identified on the Company’s Responsible Gaming page.

6. BONUS CONDITIONS

6.1. From time to time, the Company may offer bonuses, promotions, free spins, cashback, tournaments, lotteries, or other incentives to Users in order to enhance the gaming experience. Such offers may include both deposit-based and non-deposit bonuses, as well as personalized or targeted promotions.

If the bonus is not used within this period, the Company reserves the right to expire, cancel, or remove the unused bonus and any associated promotional balance.

6.4. The Company reserves the right to modify, suspend, or withdraw any promotion at any time without prior notice where required by operational, regulatory, or risk considerations.

6.5. Bonus Wagering and Withdrawal Restrictions

4. Providing false or misleading information during registration or verification
5. Exploiting software errors, system bugs, or technical loopholes
6. Using automated systems, bots, or external tools to gain unfair advantage
7. Engaging in collusion or coordinated activity with other Users
8. Using VPNs or other tools to bypass geographic or promotional restrictions

6.17. Consequences of Bonus Abuse

6.18. In the event of suspected or confirmed bonus abuse, the Company reserves the right to:

1. Cancel any active bonuses and associated winnings
2. Void any bets or transactions deemed irregular
3. Restrict or suspend the User’s account
4. Permanently close the User’s account
5. Withhold or confiscate funds where permitted under applicable regulations
